 IMPORTANT: Please review the following terms and conditions carefully.  The Sites and all Services and Associated Materials are being provided to you by Sentry Data Systems, Inc. (”Sentry”), which are jointly referred to as “us” or “we” or words of similar effect.  These Terms of Use are a legally binding contract between you and Sentry pertaining to, among other things, the purchase, access to and use of all of the services (including each software-as-a-service SAAS offering) (”Services”) and any and all associated platforms, software, media, manuals, printed materials and “online” or other electronic documentation (”Associated Materials”) made available or provided from the websites (or any subdomains thereof) operated by Sentry and its affiliated companies, including without limitation www.sentryds.com (“Sites”). By activating, purchasing, accessing or using any of the Sites or the Services or Associated Materials, you hereby consent to be bound by the following terms and provisions of these Terms of Use.  IF YOU ARE ENTERING INTO THESE TERMS OF USE ON BEHALF OF A PERSON OR COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THE LEGAL ENTITY TO THESE TERMS OF SERVICE, IN WHICH CASE “YOU” SHALL MEAN SUCH ENTITY.      Electronic Signature Agreement.  Your access and use of the Services will be managed through your account on the Sites.  Sentry relies on an electronic signature process as official authorization for your agreement as well as any changes to these Terms of Use or specific Service terms or any quotes to purchase a particular Service (”Service Quotes”). You will be asked to provide your password and click a ’submit signature’ button upon set-up and activation of your account and any Service Quotes as signature authorization.  By entering your password and submitting your signature authorization, you are authorizing use of this electronic signature process as a legally binding signature for all actions associated with your account and the Services on behalf of yourself and each organization or person designated by you as the named user of the Services (collectively, “Named Users”) and you are representing to Sentry that you have the requisite legal authority to so bind each Named User to the terms of these Terms of Use.  You may revoke approval of this electronic signature process at any time by selecting Signature from the menu bar for your account; however, this will result in Sentry’s suspension or termination of the Services absent your acknowledgement of agreement or consent by other valid legal means.  Account Activation.  Browsing the public pages of the Sites is currently provided free of charge to any person. However, in order to order or activate any access to or use of the Services or Associated Material by Named Users, you must set up a specific account with us.   At that time, other than being asked questions about your computer, you will be asked for your credit card or debit card or ACH account and other account information.  You will be asked whether you have read these Terms of Use and agree to abide by its terms. If you properly submit your password signature, and have appropriately answered the previous questions, your account will be activated and we will permit your Named Users to access the Services and Associated Materials for use only in accordance with these Terms of Use.  If you do not submit your password signature, then your account will not be activated and your Named Users will not be permitted access to the Services and Associated Materials.  We reserve the right to decline to activate an account for any organization or person for any reason.   Password.  When you first activate your account, you will be given a unique and individual password and user identification (ID) for your account.  Your Named Users must have a password and user ID to access the Services and Associated Materials once your account is activated.  You are responsible for maintaining the secrecy of your password and user ID and protecting against unauthorized use of your password and user ID.  You are also responsible for all activities that occur under your password and user ID.  You agree to immediately notify us of any unauthorized use of your password or user ID or any other breach of security, and ensure that your Named Users exit from your account at the end of each session.   We cannot and will not be liable for any loss or damage arising from your failure to comply with this clause.  You will be permitted to access only those portions of the Sites for which you have been granted permission to use by Sentry.  Account Requirements.  In consideration of your use of the Services and Associated Materials, you agree to: (a) provide true, accurate, current and complete information about Named Users as prompted by our account activation form and (b) maintain and promptly update such account information to keep it true, accurate, current and complete.  If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such account information is untrue, inaccurate, not current or incomplete, we reserve the right to suspend or terminate your account and refuse any and all current or future use of the Services or Associated Materials or any portion thereof.  Equipment/Telephone Requirements.  In order to access the Service or Associated Materials through the Sites, you must obtain access to the World Wide Web and pay any service fees associated with such access.  In addition, you must provide all equipment necessary to make such connection to the World Wide Web, including a computer and modem or other access device. You are responsible for all telephone charges incurred while you access the Services and Associated Materials, including without limitation, long distance charges (and the determination of whether the dial-in phone number selected by you is subject to local or long distance charges).  Any disputes about your telephone charges are strictly between you and your telephone provider.   Privacy Policy.   Registration information and certain other information about your Named Users is subject to our Privacy Policy. You are responsible for all activity and all charges on your account and all Service Quotes. Violations of any of the terms or provisions of these Terms of Use or any illegal or immoral activity will be grounds for immediate termination of your Named Users’ use of the Services or Associated Materials without prior notice.   Notification of Copyrights/Trademarks.  All Services and Associated Materials, whether in printed, electronic or digital media, are protected by United States copyright and trademark laws and international treaty provisions.  We retain, as do our licensors, all right, title and ownership in and to all Services and Associated Materials and all enhancements, modifications, improvements and derivative works thereof and all intellectual property rights therein.  Without the explicit consent of Sentry, no material from the Sites (including, without limitation, the Services and Associated Materials), may be copied, reproduced, displayed, republished, downloaded, posted, digitized, translated, modified, transmitted, distributed or commercially exploited in any way.  Any unauthorized use of materials contained on the Sites may violate copyright, trademark and other laws.  You agree to hold all Services and Associated Materials in confidence and take all necessary steps to ensure that access to any portion thereof is not provided to any person or entity other than your Named Users bona fide employees or representatives who require such access to use the Services and Associated Materials in accordance with these Terms of Use. These Terms of Use do not grant you any rights with respect to the trademarks, service marks, trade names and other logos used in connection with the Services or Associated Materials and you hereby agree not to remove or deface any product identification or notices of proprietary restrictions. All rights not expressly granted in these Terms of Use are reserved by us.  Nothing in these Terms of Use should be construed as conferring by implication, estoppel or otherwise, any right under or to any intellectual property right, including without limitation, any patent, trademark, service mark or copyright of Sentry or any third party.  Terms of Service.  Certain Services and Associated Materials will be provided only subject to additional terms and conditions (or a separate written agreement only) (”Terms of Service”).  By submitting your electronic signature on each Service Quote for such Services, you agree that you and all of your Named Users will abide by the Terms of Service applicable to the particular Services or Associated Materials.   Availability of Service.  Sentry reserves the right to establish general practices and limits concerning the Services or Associated Materials and user accounts at any time (and may modify such practices and limits at its sole discretion), including without limitation the maximum number of days that your account will be retained and the maximum amount of space that will be allotted on our servers on your behalf.  Without limiting the foregoing, you agree that Sentry shall have no responsibility or liability for the deletion or failure to deliver or store your account, or any information, pictures, content or email provided by or stored by you on the Sites, regardless of whether such deletion or failure was due to the established practices or limits of the Services or as a result of error, intentional misconduct, or negligence of Sentry.  You acknowledge that Sentry reserves the right to log off accounts that are inactive for an extended period of time and reserves the right at any time, and from time to time, to modify or discontinue, either temporarily or permanently, the Services or Associated Materials (or any part thereof) with or without notice.  You agree that Sentry shall not be liable to you or to any third party for any such modification, suspension or discontinuance of the Services or Associated Materials.  Access to Use.  These Terms of Use permit you access for your internal business use to each of the Services and Associated Materials through the Sites in connection with these Terms of Use for which you have paid all applicable service fees only for the duration of the term of service set forth in each Service Quote.  This permission is on a limited, non-exclusive, personal, non-transferable basis and does not constitute a sale of any Associated Materials or any copy thereof.  Your use is limited to the predetermined maximum number of Named Users set forth in the Service Quotes, which includes all users of machines that access the Services, all users of machines communicating with any network device or other machine that access the Service, whether such communications are direct or indirect through one or more other servers, routers, additional firewalls, gateways, network devices or otherwise so as to provide any or all of the protection, isolation and/or other functionality of the Services or Associated Materials.   Other Restrictions.  Except as otherwise provided in these Terms of Use, you may not (a) copy or otherwise reproduce the Services or any Associated Materials, (b) modify or prepare derivative copies based on the Services or Associated Materials, (c) distribute copies of the Associated Materials by sale or other transfer of ownership, (d) sublicense, rent, lease, or lend the Services or Associated Materials, or commercially exploit or otherwise profit from the Services or Associated Materials, or (e) display any Associated Materials publicly. You may not (and you may not allow any third party to) rent, lease, alter, modify, translate, assign, copy, transfer or otherwise use the Services or Associated Materials except as stated in these Terms of Use. You are expressly prohibited from any transmitting of any Associated Materials, electronically or otherwise over the Internet or through any other media, to any third party.  You may not access any of our Services by any means other than your account via the Sites.  Termination.  Either party (us or you) may terminate these Terms of Use at any time without cause subject to your full payment of all service fees and any early termination fees due, as set forth in each Service Quote. These Terms of Use also will terminate automatically if you fail to comply with any term or provision of these Terms of Use. Immediately upon termination of these Terms of Use for any reason, the permissions granted hereunder and your right to access and use the Services and/or Associated Materials, as applicable, ceases (without any form of notice). Termination of these Terms of Use automatically terminates each specific Terms of Service related to these Terms of Use and all Service Quotes. You acknowledge that written notice of termination can be made by Sentry or you via the account management portal on your account. You agree upon termination to immediately destroy all copies of any Associated Materials and the component or portions thereof in your possession or control.  We retain all rights not expressly granted, and nothing in these Terms of Use constitutes a waiver of any rights under copyright laws or any other Federal or State law or treaty. Any provisions, which by their nature are intended to survive termination of these Terms of Use (including without limitation limitations of liability, disclaimers, intellectual property ownership, confidentiality and payment obligations) shall survive expiration or termination of these Terms of Service indefinitely.  You acknowledge that our entire liability and your exclusive remedy under these Terms of Use for any dispute with us shall be your right to terminate these Terms of Use in accordance with this section.  Please refer to the specific credit policy in the Service Quote or the Terms of Service related to each particular Service for fee credit eligibility, as applicable.  Deactivation.  You may deactivate your account at any time.  In order for us to deactivate your account, you must provide us with written notice.  You may look under “Your Account” and follow the instructions for providing written notice to us so that your account will be deactivated.  Deactivation of your account will be deemed to be termination of these Terms of Use by you without cause.   Billing and Payment.  We will automatically charge your account for the applicable service fees at the rates and payment dates set forth in each Service Quote. You agree to pay all fees and other amounts due in full in accordance with a proper Service Quote from us under these Terms of Use and all applicable Terms of Service.  Unless otherwise stated, all fees and other amounts due are exclusive of any Federal, State, municipal or other governmental taxes, duties, permits, fees, excises or tariffs. We reserve the right to change fees or billing methods at any time and from time to time, which such changes shall be effective upon notice to you or 30 days after we publish such rates on the Sites, whichever is earlier.  We accept credit cards, debit cards and ACH drafts as payment for our Services.  No checks or purchase orders are accepted unless there is express prior written approval from our billing department.  Unless otherwise expressly provided in a Service Quote, all fees are billed and collected in advance. You must maintain an active and valid email account for the term of your account. It is your responsibility to notify our billing department of email address changes. Late charges or service fees may be applied if accounts are ten (10) or more days past due and will not be waived if you fail to receive notice because of no email account, an email account set up to block our email correspondence, or an invalid account.  Sentry reserves the right to terminate or suspend services on all Named Users on any account that is ten (10) or more days past due. We will apply a late fee or service charge of .75% per month for past dues balances.  By activating your account and providing us your credit card or debit card or ACH draft information, you authorize us to charge such credit card or debit card or ACH draft for all payments due to us under these Terms of Use.  You represent that you will maintain adequate and sufficient funds or credit limit to satisfy your payment obligations under each Service Quote under these Terms of Use.  Improper Use of the Services.  You will not upload onto the Service, or otherwise use the Service or Associated Materials for, any destructive or unlawful purposes including, but not limited to, the dissemination of computer viruses, libelous or inflammatory materials, pornographic or obscene information, invasive of privacy, stalking or harassment, abuse, tortuous conduct, hateful or racially, ethnically or otherwise objectionable material, or any works infringing upon the patents, copyrights, trademarks, trade secrets or other proprietary rights of third parties.  You will not attempt to download any portion of the operating software for the Service or otherwise control its operation.  You will not impersonate any person or entity, including, without limitation, one of our officers or employees, or falsely state or otherwise misrepresent your affiliation with a person or entity. You will not forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Services or the Associated Materials. You will not upload, post, email or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation, except in those areas that may be designated for such purpose.  You will not upload, post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.  You will not interfere with or disrupt the Services or Associated Materials or servers or networks connected to the Services or Associated Materials, or disobey any requirements, procedures, policies or regulations of networks connected to the Services.  You may not disassemble, decompile or reverse engineer any portion of the Services or Associated Materials, or request or authorize any other person or entity to do so for any reasons whatsoever.  In jurisdictions where a right to reverse engineer is provided by law unless information is available about the Services or Associated Materials in order to achieve interoperability, functional compatibility or other objectives, you agree to submit a detailed written proposal to us concerning your need for such information before engaging in reverse engineering (or requesting or purporting to authorize any other person or entity to do so) and we may, in our sole discretion, propose to you terms and conditions under which Sentry is willing to make such information available.  You will not intentionally or unintentionally violate any applicable local, state, national or international law.   You will not collect or store personal data about other account users. You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Services Associated Materials, or your use or access thereto.  IMPROPER USE OF THE SERVICES OR ASSOCIATED MATERIALS WILL RESULT IN LOSS OF USE AND MAY RESULT IN CIVIL AND CRIMINAL LIABILITIES.  Acceptable Use Policy.  Sentry reserves the right to suspend or terminate your account or any access to the Sites, the Services or any Associated Materials if your Named User violates our Acceptable Use Policy [INSERT HYPERLINK].    Downtime.  While we endeavor to provide the highest quality of service and uptime, the Internet world is not perfect and there will therefore be temporary outages from time to time. We make every reasonable effort to minimize downtime. Downtime is not grounds for credits or refunds unless expressly provided in the Terms of Service for a particular Service. We reserve the right to add, modify or eliminate Services and charges for Services in order to better serve our subscribers.  Third Party Materials. You acknowledge that (i) the Services and Associated Materials may contain other software or components that are either owned by a third party or in the public domain, and (ii) Sentry has no proprietary interest in such software or components.  Any access to the Services provided to you will be subject to any obligations required by the owners of the third party software and/or components.  SENTRY MAKES NO WARRANTIES OR REPRESENTATION AS TO SUCH SOFTWARE OR COMPONENTS (INCLUDING INFRINGEMENT) AND FURTHER DISCLAIMS ANY AND ALL LIABILITY FOR ANY LOSSES OR DAMAGES THAT MAY RESULT FROM YOUR USE THEREOF (INCLUDING INFRINGEMENT INDEMNIFICATION).  Disclaimer of Warranties; Risk of Loss.  UNLESS OTHERWISE EXPRESSLY PROVIDED IN THE TERMS OF SERVICE FOR A PARTICULAR SERVICE, THE SERVICES AND ASSOCIATED MATERIALS ARE PROVIDED “AS IS” AND “WITH ALL FAULTS” WITHOUT WARRANTY OF ANY KIND AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU AND EACH NAMED USER. There is no warranty against interference with your enjoyment or against infringement with respect to the Services and Associated Materials. There is no warranty that the Services or the Associated Materials will fulfill any of your particular purposes or needs. There is no implied warranty of benefit for the ordinary purposes to which such Services or Associated Materials are used. There is no warranty, representation or guarantee that the Services will continuously operate or be error free or that any problems will be corrected. Further, we do not warrant, guarantee, or make any representations regarding the use of, or the results of the use of the Services or Associated Materials either in terms of its ability to deter unauthorized access, its compatibility with hardware or other software, its reliability, currentness, or otherwise; and you rely on the Services and Associated Materials and their performance solely at your own risk. ANY AND ALL OTHER REPRESENTATIONS AND WARRANTIES INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND/OR FITNESS OF THE PRODUCT FOR A PARTICULAR USE OR PURPOSE, QUALITY, COURSE OF DEALINGS, USAGE OF TRADE, INACCURACY IN DATA CAUSED BY OUR FAILURE TO PERFORM WITH REASONABLE CARE, QUIET ENJOYMENT OR NON-INFRINGEMENT ARE HEREBY EXPRESSLY DISCLAIMED.    We shall not, nor shall any of our affiliates, officers, directors or employees, be responsible for the installation, operation or maintenance of equipment, software or other services or products not provided by us or our affiliates. No advice or information given by us or our employees shall create a warranty. We do not, nor do any of our affiliates, nor our network providers, warrant that the Services or the Associated Materials will be transmitted error free, or that any information, software or other material accessible on the Internet is free of viruses, worms, trojan horses or other harmful components. You assume sole responsibility and all risk for your and any Named User’s and any unrelated party’s use of the Services or Associated Materials and the Internet. It is solely your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services and other information, and the quality and merchantability of all services provided over the Internet.  We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services and Associated Materials (or any part thereof) without prior notice to you. You agree that we shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Services or Associated Materials (or any part thereof).  Nothing in these Terms of Use shall be construed to obligate us to maintain and support the Services and Associated Materials during the term of these Terms of Use.  Confidentiality.  The Services, Associated Materials and other information made available to you either directly from us may include confidential information that is a trade secret valuable to us.  You are not entitled to disclose that confidential information other than strictly in accordance with the terms of these Terms of Use and each applicable Term(s) of Service. We reserve the right to disclose your name and all names of your Named Users to third parties for publicity and promotional purposes. We further reserve the right to disclose to potential purchasers or investors of Sentry any information or terms related to your use of the Services. We further reserve the right to use and aggregate de-identified data (including without limitation any data devoid of personally identifiable health information submitted by you or your Named Users to the Sites) in Sentry’s research and development initiatives as well as future Sentry products and/or services. You acknowledge that such de-identified data is not subject to any confidentiality obligations and you acknowledge that Sentry has an unrestricted and irrevocable right to use, modify, disclose, sell and otherwise distribute any de-identified data to others without accounting or notice to you. The foregoing section expressly survives termination of these Terms of Use for any reason.  Indemnification.  You will indemnify and hold us harmless, and upon request defend, our officers, directors, authorized representatives, affiliates and employees and our users from any and all losses, damages, costs, or other expenses incurred by such indemnified parties (including court costs and attorneys’ fees) to the extent arising out of the unauthorized use or misuse of the Services, Associated Materials or Content and/or any breach of these Terms of Use by you and your Named Users.  Equitable Remedies.  You hereby agree that, if the terms of these Terms of Use are not specifically enforced, we will be irreparably damaged, and therefore you agree that we shall be entitled, without bond, other security, proof of damages, to appropriate equitable remedies with respect any breach(es) of these Terms of Use, in addition to any other available remedies.  LIMITATION OF DAMAGES.  NOTWITHSTANDING ANYTHING STATED TO THE CONTRARY, IN NO EVENT AND UNDER NO CIRCUMSTANCES SHALL WE, OR OUR AFFILIATES, LICENSORS OR AUTHORIZED REPRESENTATIVES BE LIABLE TO YOU OR ANY THIRD PARTY FOR SPECIAL, CONSEQUENTIAL, INCIDENTAL, PUNITIVE OR INDIRECT DAMAGES, INCLUDING ANY LOSS OF PROFITS, LOST SAVINGS, LOSS OF DATA, OR OTHER SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR (OR ANY AUTHORIZED USER’S) OR ANY UNRELATED PARTY’S USE OR INABILITY TO USE THE SERVICES OR ASSOCIATED MATERIALS OR YOUR NAMED USER’S OR ANY UNRELATED PARTY’S RELIANCE OR USE OF INFORMATION, PRODUCTS OR SERVICES PROVIDED ON OR THROUGH THE INTERNET, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS DELETION OF FILES OR OTHER DATA LOSS, ERRORS, DEFECTS, DELAYS IN OPERATION, SERVICE OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, EVEN IF WE, OR ANY OF OUR AUTHORIZED REPRESENTATIVES, HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE AND EVEN IF ANY OF THE REMEDIES STATED IN THIS AGREEMENT FAIL OF THEIR ESSENTIAL PURPOSE.  IN NO EVENT WILL OUR CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT EXCEED THE AMOUNT OF ANY FEE(S) ACTUALLY PAID TO US BY YOU ARISING OUT OF IN CONNECTION WITH THE PARTICULAR SERVICES OR ASSOCIATED MATERIALS AT ISSUE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM. In accordance with such provisions, the Services and Associated Materials are provided to all United States government users with only those rights set forth in these Terms of Use.  Notice of Claims of Intellectual Property Violations.  The content of the Sites may include materials uploaded or provided by third parties or otherwise received from third parties.  Sentry does not permit the use of content on the Sites that infringes on the copyright or trademarks or rights of publicity of others, and will remove any such content that violates the copyright or trademarks or other rights of others if properly notified of such violation in accordance with the procedure set forth in these Terms of Use.  If you believe that any of the content on the Sites infringes your copyright or trademark rights or your rights of publicity, please provide Sentry’s general counsel (whose contact information provided below) with the following information: (i) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (ii) Identification of the copyrighted work or mark or publicity right claimed to have been infringed, or, if you believe that multiple works, marks or publicity rights have been infringed on the Sites, a representative list of such works, marks or publicity rights; (iii) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Sentry to locate the material; (iv) Information reasonably sufficient to permit Sentry to contact you, such as an address, telephone number, and, if available, an electronic mail address at which you may be contacted; (v) A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the owner, its agent, or the law; and (vi) A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.  Sentry’s agent for the notice of any claim of infringement of any copyright or trademark or right of publicity is its General Counsel, who can be reached by mail, as follows: General Counsel, Sentry Data Systems, Inc., 600 Fairway Drive, Suite 201, Deerfield Beach, Florida 33441. Please provide all of the information requested above. No specific form is required to provide Sentry with notifications of possible infringement.  However, it will take Sentry longer to process your notice if any of this information is not provided, and in some cases, we may not be able to process your notice.  Also please note that, due to security concerns, attachments cannot be accepted. Accordingly, any notification of possible infringement submitted electronically with an attachment will not be received or processed.  Force Majeure.  Neither party will be liable for or be deemed to have breached any of its obligations under these Terms of Use (other than an obligation to pay money) if that party’s failure to perform under such terms is due to any of the following: failure or delay in performance by the other party to these Terms of Use or anyone acting for or under such other party; any strikes, lockouts, acts of God, insurrection, riots, wars, terrorist attacks, natural disasters, fires, explosions, epidemics, quarantines, earthquakes, storms, floods, any shortages of energy, fuel, or any utility (e.g., electrical, natural gas, etc.) failure or disturbance however caused; any governmental action not the fault of the non-performing party or similar condition or circumstance that is not caused by the non-performing party.  Miscellaneous.  These Terms of Use are governed by the laws of the State of Florida, U.S.A., excluding any conflict of laws, rules or similar principals, and the applicable laws, regulations and treaties of the United States of America. These Terms of Use will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.  Any action arising out of any dispute with respect to these Terms of Use shall only be brought in the State or Federal courts located in Broward County, Florida.  If any provision of these Terms of Use is held to be illegal, invalid, or unenforceable, then that provision shall be fully severable from these Terms of Use and shall not affect the legality, validity, or enforceability of the remaining provisions of these Terms of Use. You acknowledge that the Services and the Associated Materials may be governed by laws, rules and/or regulations, including, without limitation, the laws and regulations of the United States, which restrict the import, export and re-export of certain software, technical data and other materials. You agree that you will not, directly or indirectly, violate any local, state or federal law or regulation of the country or countries in which you use the Services and Associated Materials, or the export laws of any country that may regulate the import or export of such items.  These Terms of Use have been written in the English language and the English language shall control. You waive any rights that you may have under the laws of your country for these Terms of Use to be written in the language of that country. These Terms of Use, which are in English, shall be interpreted in accordance with the commonly understood meaning of the words and phrases in the United States of America. Failure by us to enforce any particular term of these Terms of Use shall not be construed as a waiver of any of our rights hereunder. You may not assign these Terms of Use in whole or in part without our prior written approval.  We may assign, disclose or transfer assign our rights under these Terms of Use in whole or in part by merger, reorganization, sale of assets or equity or operation of law without your consent. These Terms of Use shall be binding on and shall inure to the benefit of the parties and their respective legal representatives, heirs, successors and assigns, except as otherwise expressly provided for in these Terms of Use. Any and all notices required hereunder shall be in writing and sent by (i) email posted to your account, (ii) registered or certified mail, return receipt requested, (iii) recognized overnight delivery service capable of generating a receipt for delivery (such as FedEx or UPS), or (iv) facsimile that is confirmed in writing by the receiving party, in each case directed to the addresses or fax number set forth in your account or the “contact us” page of the Sites, unless notice of a change of address or facsimile number has been furnished in the same manner. All date calculations herein shall be in calendar days unless expressly noted otherwise. These Terms of Use do not create an employment, partnership, joint venture or agency relationship between Sentry and you of any kind or nature. Except as may specifically be authorized pursuant to these Terms of Use, neither you nor Sentry shall have any right, power, or authority under these Terms of Use to act as a legal representative or attorney-in-fact of each other, and neither shall have any power to obligate or bind the other or to make any representations, express or implied, on behalf of or in the name of the other in any manner or for any purpose whatsoever.  Specific Requirements.  Any contractual requirements specific to you must be set forth expressly in the Service Quote in order to bind Sentry. You further agree that no additional terms (including those found in your purchase order, RFP, order form or other correspondence) will be included as part of these Terms of Use unless expressly agreed upon in writing by you and Sentry in a Service Quote.  Entire Agreement.  You acknowledge that you have read these Terms of Use, understand it, and agree to be bound by its terms and conditions.  You further agree that these Terms of Use, together with the Acceptable Use Policy, the Privacy Policy (which includes the Business Associate Agreement), all applicable Term(s) of Service and all applicable Service Quotes, represent the entire and integrated agreement between you and Sentry, which supersedes any proposal or prior agreement, oral or written, and any other communications between you and us relating to the subject matter thereof.  In the event of any inconsistency between the provisions of this agreement, the inconsistency shall be resolved by giving precedence in the following order:  (1) Service Quote(s); (2) these Terms of Use; (3) the Term(s) of Service; (4) Privacy Policy; and (5) the Acceptable Use Policy.   Amendment. These Terms of Use have been undertaken with the recognition that Internet technologies are rapidly evolving, and that underlying business models are still not established. Accordingly, these Terms of Use are subject to change at any time and Sentry expressly reserves the right to modify the terms of these Terms of Use at any time and in our reasonable discretion, by posting a change notice to the home page of the Sites. You agree to review these Terms of Use each time you use the Sites so that you are aware of such changes. Your continued use of the Services or Associated Materials following our posting of a change notice will constitute binding acceptance of these Terms of Use and all changes thereto. These Terms of Use are effective as of March 30, 2009.

 DATANEX™ PLATFORM – TERMS OF SERVICES  PLEASE READ CAREFULLY – THIS IS A BINDING CONTRACT  THESE DATANEX™ PLATFORM TERMS OF SERVICE (“TERMS OF SERVICE”) ARE A BINDING AGREEMENT BETWEEN SENTRY DATA SYSTEMS, INC. (“SENTRY”) AND YOU (EACH REFERRED TO AS A “PARTY” OR THE “PARTIES”). THESE TERMS OF SERVICE INCORPORATE BY REFERENCE (1) THE PRIVACY POLICY (“PRIVACY POLICY”), (2) THE TERMS OF USE, AND (3) THE ACCEPTABLE USE POLICY (“AUP”) POSTED ON THE SITES, AS THEY MAY BE MODIFIED BY SENTRY FROM TIME TO TIME, AND (4) ALL SERVICE QUOTES RELATED TO THIS SERVICE.  IF YOU ARE ENTERING INTO THESE TERMS OF SERVICE ON BEHALF OF A PERSON OR COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THE LEGAL ENTITY TO THESE TERMS OF SERVICE, IN WHICH CASE “YOU” SHALL MEAN SUCH ENTITY. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THESE TERMS OF SERVICE, YOU MUST SELECT THE “DO NOT ACCEPT” BUTTON AND YOU MAY NOT USE THE SERVICES.  To uphold the quality and reputation of Sentry products and services, your use of the Sentry Datanex Platform is subject to these Terms of Service.  If you are found to be in violation of these Terms of Service at any time, as determined by Sentry in its sole discretion, we may warn you, suspend, or terminate your account.  Please note that we may change our Terms of Service at any time, and it is your responsibility to keep up-to-date with and adhere to the posted Terms of Service.  All capitalized terms used herein have the meanings stated in the Terms of Service, the Privacy Policy, the AUP or the Terms of Use, unless stated otherwise.  The Service.  The Service covers Sentry’s Datanex comprehensive healthcare data infrastructure platform, including, but not limited to the following components:  a.	Virtual Server Infrastructure (”GRID”) is a Datanex module providing a highly scaleable, on-demand virtual server infrastructure that can host client applications and interact with the other components of the Datanex platform.  b.	Quantum Data Construct™ (”QDC™”) is a Datanex module providing a proprietary, ultra high performance, massively scalable distributed database with a shared-nothing architecture. Datanex QDC™ is built for quickly storing, retrieving, and aggregating Health Record Units (HRU) across multi-million populations of patients and providers involving petabytes of associated information.  c.	Extract, Transform, and Load (”ETL”) is a Datanex module providing infrastructure and associated service that focuses on quickly extracting healthcare data formats and standards, with an emphasis on grading the quality of data and alerting when certain error thresholds are breached.  d.	Application Programming Interface (”API”) is a Datanex module providing for communication between Datanex QDC, the Datanex GRID, and customer applications. The Datanex API provides a rich toolkit to developers who need to access and utilize healthcare data, while not worrying about the underlying details.  e.	Network Transport (”NET”) is a Datanex module brokering healthcare transactions between Datanex Platform instances and serves as a digital highway for platform subscribers.  Sentry is constantly innovating in order to provide the best possible experience for its users.  You acknowledge and agree that the form, features and nature of the Service may change from time to time without prior notice to you.  Permitted Uses Generally.  You may upload your data and applications to the Service for use on the Datanex platform.  By doing so, you authorize Sentry and its service providers to copy, reproduce, distribute, modify, translate, display and use such data and applications to the extent necessary to perform the Services and you represent to Sentry that you own or have sufficient rights to such data and applications.  Using the API, you may write an application that interfaces with the Services. You acknowledge that we may change, deprecate or republish APIs for any Service or feature of a Service from time to time, and that it is your responsibility to ensure that calls you make to any Service are compatible with then-current APIs for the Service. You further acknowledge that we may change or remove features or functionality of the Services at any time.  You may make network calls or requests to the Services at any time that the Services are available, provided that, unless otherwise set forth in the AUP for the Service, you (or if you build and release an application, each installed copy of your application) may not exceed the maximum file size or maximum calls per second limit (if any) set forth for any particular Service in the AUP. With respect to ETL, you must provide Sentry on a timely basis all required data in accordance with the specifications set forth in published documentation and implementation plan provided by Sentry as part of the Service Quote, and you acknowledge that Sentry can only perform the Services on compliant data received from you.  Accounts and Keys. Unless otherwise stated in the AUP, you may only create one account per email address. Sentry accounts are associated with one or more public key/private key pairs, which are used to access the service.  When you complete the account creation process, you will be issued unique account identifiers (“Account Identifiers”), and may add a public key to your account. Account Identifiers (i) identify your account and (ii) allow you to make requests to Sentry. The Account Identifier is immutable and will always uniquely identify your Sentry account. Public key/private key pairs are unique to your account and are subject to change. Private keys are for your personal use only, and you may not sell, transfer, sublicense or otherwise disclose your private key to any other party. You may use your public key in the open in requests to Sentry; your public key is therefore not secret. However, you are responsible for maintaining the secrecy and security of your private key. You are fully responsible for all activities that occur under your Account Identifiers, regardless of whether such activities are undertaken by you or a third party. Therefore, you should contact us immediately if you believe a third party may be using your private key, or if your private key is otherwise lost or stolen. You are responsible for maintaining up-to-date and accurate information (including contact information) for your Sentry account. We are not responsible for any unauthorized access to, alteration of, or the deletion, destruction, damage, loss or failure to store any of, your data or applications which you submit or use in connection with your account or the Services.  Monitoring Your Use of the Services. You agree to provide information and/or other materials related to your data and applications as reasonably requested by us to verify your compliance with these Terms of Service. You further acknowledge and agree that, with respect to online applications, we may crawl or otherwise monitor the external interfaces of your application for the purpose of verifying your compliance with these Terms of Service. You may not seek to block or otherwise interfere with such crawling or monitoring (and we may use technical means to overcome any methods used on your application to block or interfere with our crawling or monitoring), and, with respect to client-side applications, you agree to furnish a copy of your applications upon request for the purpose of verifying your compliance with these Terms of Service.  Compliance with Laws.  You will conduct your operations in compliance with all applicable Federal, State and local laws, rules and regulations.  You will obtain all required licenses and maintain such licenses in good standing with the issuing regulatory authorities.   Confidentiality.  In order for you to access and use the Service and Sentry to perform its obligations under these Terms of Service, it will be necessary and desirable for the parties to disclose certain confidential and proprietary information to each other.  All data and applications submitted by you to the Services shall be treated as your confidential information subject to these Terms of Use and the Privacy Policy.  The Services and Associated Materials and all Intellectual Property of Sentry shall be treated as Sentry’s confidential information. Confidential information shall not include any information of the disclosing Party that: (a) is already known to the receiving Party at time of its disclosure from sources other than the disclosing Party, as can be demonstrated in written records pre-dating the data of disclosure; (b) is or becomes publicly known through no wrongful act of the receiving Party; or (c) is lawfully required to be disclosed to any governmental agency or is otherwise required to be disclosed by law, provided that before making such disclosure the receiving Party shall give the disclosing Party an adequate opportunity to interpose an objection or take action to assure confidential handling of such information. The receiving Party shall not disclose or permit the disclosure of any confidential information that it receives from the disclosing Party to any person or entity except (i) employees or legal representatives of the receiving Party who have a need to know and who have been informed of the receiving Party’s obligations under this Agreement or (ii) independent contractors who have been approved in writing by the disclosing party prior to disclosure.  The receiving Party agrees that their respective employees, approved independent contractors and legal representatives who may have access to any confidential information of the disclosing Party will be contractually or legally obligated to preserve the confidentiality of such information.   All confidential information that is disclosed in tangible form by the disclosing Party to the receiving Party under this Agreement (including, without limitation, documents, writings, designs, drawings, specifications and information incorporated in computer software or held in electronic storage media) and all enhancements, improvements, suggestions, feedback, benchmark testing or derivative works thereof shall be the sole property of the disclosing Party.  All such confidential information shall be returned to the disclosing Party or destroyed promptly upon the disclosing Party’s written request and shall not thereafter be retained in any form by the receiving Party.  The rights and obligations of the parties under this Agreement shall survive any such return of confidential information or termination of these Terms of Service.   Term, Termination and Suspension. The initial term of these Terms of Service shall be as set forth on the Service Quote (”Initial Term”). Thereafter, these Terms of Service shall automatically renew for the successive terms as set forth on the Service Quote (“Renewal Term”), unless Sentry or you provide a written notice of non-renewal not less than thirty (30) days prior to the end of the Initial Term or any Renewal Term. You may terminate these Terms of Service at any time by providing Sentry with thirty (30) days prior written notice subject to your full payment of all early termination fees as described below. If, at any time, Sentry materially fails to perform its obligations under these Terms of Service or breach any material term or condition, and such material default or breach continues uncured for a period of thirty (30) days following written notice from you, then you may terminate these Terms of Service without early termination fees.  We may suspend your right and access to use the Service or terminate these Terms of Service in their entirety (and, accordingly, your right to use all Services), for cause effective as set forth below:  (a) Immediately upon our written notice to you if: (i) you attempt a denial of service attack on any of the Services; (ii) you seek to hack or break any security mechanism on any of the Services or we otherwise determine that your use of the Services poses a security or service risk to us, to any user of services offered by us, or to any of our or their respective customers or may subject us or any third party to liability, damages or danger; (iii) you otherwise use the Services in a way that disrupts or threatens the Services; (iv) you are in default of your payment obligations hereunder and there is an unusual spike or increase in your use of the Services; (v) we determine, in our sole discretion, there is evidence of fraud with respect to your account; (vi) we receive notice or we otherwise determine, in our sole discretion, that you may be using the Services for any illegal purpose or in a way that violates the law or violates, infringes, or misappropriates the rights of any third party; or (vii) we determine, in our sole discretion, that our provision of any of the Services to you is prohibited by applicable law, or has become impractical or unfeasible for any legal or regulatory reason; or (b) Fifteen (15) days following our provision of written notice to you if you are in default of any payment obligation with respect to any of the Services or if any payment mechanism you have provided to us is invalid or charges are refused for such payment mechanism, and you fail to cure such payment obligation default or correct such payment mechanism problem within such 15 day period (and such suspension of Services will remain in effect until such time as you bring all amounts due to a fully paid status); or (c) Five (5) days following our provision of written notice to you if you breach any other provision of these Terms of Service and fail, as determined by us, in our sole discretion, to cure such breach within such 5 day period; or (d) Immediately, in the event that during the Initial Term or any Renewal Term you (i) become insolvent on balance sheet, unable to pay your liabilities, dissolve, or otherwise terminate your existence, and the event is not cured within 30 days after written notice to you, or (ii) become subject to any proceeding, whether voluntary or involuntary, under any bankruptcy or insolvency law or laws relating to the relief of debtors, readjustment of indebtedness or reorganization or composition by or against you, which proceeding, is not dismissed within 30 days of commencement, then we shall promptly work together to resolve your financial obligations hereunder, and if not resolved to the satisfaction of Sentry promptly, then Sentry shall have the right to terminate these Terms of Service in their entirety. You acknowledge that written notice of termination can be made by Sentry or you via the account management portal on your account.  Effect of Suspension or Termination.  Upon our suspension of your use of the Service, in whole or in part, for any reason, (i) fees will continue to accrue for use of the Service, notwithstanding the suspension; (ii) you remain liable for all fees, charges and any other obligations you have incurred through the date of suspension with respect to the Service; and (iii) all of your rights with respect to the Service shall be terminated during the period of the suspension.  Upon termination of these Terms of Service for any reason: (i) you remain liable for all fees, charges and any other obligations that you have incurred through the date of termination with respect to the Service; (ii) all of your rights under these Terms of Service shall immediately terminate; and (iii) you shall immediately destroy or return to Sentry any of Sentry’s confidential and proprietary information and all materials prepared by you (or your Named Users), which contain or otherwise relate to the confidential and proprietary information of Sentry in your possession or control.  Upon Sentry’s request, a duly authorized corporate officer of the other party shall certify in writing that such return and destruction has occurred.    Data and Application Preservation in the Event of Suspension or Termination.  In the event of a suspension by us of your access to the Service for any reason other than for cause, during the period of suspension, we will not take any action to intentionally erase any of your data and/or applications stored on the Services and all applicable service fees will continue to accrue. In the event of any termination of these Terms of Service by us other than for cause termination, we will not take any action to intentionally erase any of your data and/or application stored on the Services for a period of thirty (30) days after the effective date of termination; and your post-termination retrieval of data stored on the Services will be conditioned on your payment of all service fees due for the period following termination, payment in full of all early termination fees and any other amounts due us, and your compliance with terms and conditions that we may establish with respect to such data retrieval.  Except as provided above, we shall have no obligation to continue to store your data and/or applications during any period of suspension or termination or to permit you to retrieve the same.  You are responsible for extracting all of your data and applications from the Services.  Post-Termination Assistance.  Following the suspension or termination of your right to use the Services by us or by you for any reason other than for cause, you shall be entitled to take advantage of any post-termination assistance that we may generally make available with respect to the Services, such as data retrieval arrangements. We also may endeavor to provide you unique post-suspension or post-termination assistance, but we shall be under no obligation to do so. Your right to take advantage of any such assistance, whether generally made available with respect to the Services or made available uniquely to you, shall be conditioned upon your acceptance of and compliance with any fees and terms that we specify for such assistance.  Service Level Agreement.  While Sentry will use commercially reasonable efforts to maintain the Services and its access via the Sites 24 hours per day 7 days a week, Sentry will guarantee Service availability of 99% during Sentry’s normal business hours of operation (defined as Monday–Sunday, 7AM-10PM Eastern) as measured over the course of a calendar month, excluding standard exceptions. Exceptions to the 99% commitment include scheduled maintenance, maintenance downtime to resolve extraordinary technical problems with the Service or its operating environment, force majeure (including federally declared natural disasters in Sentry’s physical locations), technical difficulties attributable to any non-Sentry computer hardware, claims processing software, claims processing clearinghouse or switch, technical difficulties attributable to a covered person’s third-party Pharmacy Benefit Manager (PBM) system, or technical difficulties attributable to your data interface with Sentry unless such technical difficulties are the fault of Sentry. In the event that the Service availability guarantee in a calendar month falls below 99%, you shall be entitled to a credit against future Services Fees equal to ten percent (10%) of the service fees for the month in which such failure occurred for each tenth of a percent (0.1%) or part thereof by which the Service availability falls short of 99% to a maximum credit of the entire monthly service fee.  You must request a credit at any time within ninety (90) days from the end of the month in which such failure occurred.  Payment credits for service outages issued during any calendar month for the Service will not exceed the monthly recurring charge for the Service.  You may terminate these Terms of Service without incurring any early termination fees if Sentry fails to meet the Service availability guarantee during the Initial Term or any Renewal Term for (i) two or more consecutive months, or (ii) three or more months during any six (6) consecutive months.   Intellectual Property.  “Intellectual Property” shall mean inventions, works of authorship or art, websites, domain names, documentation, know-how, plans, copyrights, trademarks, patents and patent applications, business models, business plans, business lines, business strategies, trade secrets, information relating to any product or process, developments, research work, improvements, discoveries, creations, computer programs, designs, concepts, formulas, ideas, methods, proprietary data, techniques, all object and source code, screens, drawings, data, prototypes, algorithms, procedures, compilations, programming, systems, writings, and other intellectual property rights and technical information and materials, in oral, demonstrative, written, graphic or machine-readable form, and either owned as of the effective date of these Terms of Service or independently developed thereafter and any and all derivative works therefrom and any and all patents and copyrights therein or any improvements thereof or other property that is commonly referred to as intellectual property.  You acknowledge and agree that Sentry shall retain all right, title and ownership of any and all Sentry’s Intellectual Property, including any and all enhancements and modifications thereto and derivative works thereof.  You shall not take any ownership interest or implied license right in any element, segment or component of the intellectual property of Sentry that is incorporated in the Services. Sentry, its successors and assigns, further reserve the right to make modifications, updates, improvements (including any derivative works thereof) or other changes to any pre-existing works or derivative works based on Sentry’s technology or any portion thereof.  You acknowledge and agree that any Intellectual Property developed by Sentry, either at your request or as may otherwise be necessary for its performance hereunder shall continue to be the property of Sentry and shall not constitute a work made for hire.  Authority Warranty.  Each party represents and warrants to the other party that: (i) it has the authority to enter into these Terms of Service, (ii) entering into these Terms of Service will not cause the representing party to violate or otherwise be in default of the representing party’s other agreements, and (iii) it has qualified and experienced personnel for the performance of these Terms of Service. In addition, Sentry hereby represents and warrants that it owns or possesses legal rights to provide Services to you in accordance with these Terms of Service.   Service Fees.  You agree to pay all service fees applicable to the Services in accordance with each Service Quote.  Unless there are special terms of payment set forth in a Service Quote, Sentry shall invoice you on a monthly basis for all Services provided in the immediately preceding month and you shall pay all amounts due under each invoice net thirty (30) days from the date of the invoice.  Sentry shall post all invoices to your account page on the Sites for your reference.  Sentry reserves the right to charge additional fees for any updates or enhancements to the Service.   Early Termination Fees.  Upon any termination of these Terms of Service for any reason other than mutual termination agreed upon by you and Sentry or your termination for these Terms of Service for Sentry’s uncured material breach, you shall pay Sentry the early termination fee set forth in all applicable Service Quotes.  If no early termination fee is specified in the applicable Service Quote, the early termination fee will be calculated the most recent monthly fee due at the time of termination multiplied by the number of months then remaining in the Initial Term or Renewal Term, as applicable.  Upon Sentry’s receipt of notice of your intention to terminate these Terms of Service or to deconvert your users from the Services or upon Sentry’s written notice of your uncured breach of these Terms of Service or other causes set forth in these Terms of Service or the Terms of Use, such early termination fees shall become due and payable by you to Sentry, and Sentry is authorized to collect such fees from the credit or debit card or ACH account associated with your account.  Subcontractors.  Notwithstanding anything to the contrary, Sentry reserves the right to subcontract its obligations in whole or in part to third party independent contractors without prior notice or approval from you.  Sentry shall be responsible for any breach of these Terms of Service arising from such third party independent contractors’ action or non-actions related to our performance of the Services or these Terms of Service.
